Course Description

This event will be held at Denton's offices (77 King Street West, Toronto, Ontario).  The structure of the event is as follows:

  • Presentations: 2:00 p.m. EST to 5:00 p.m.
  • Wine & cheese/networking - 5:00 p.m. EST to 7:00 p.m. 

The cost of this event $150 (+tax), which you can pay by any credit card. You will earn 3.0 hours of PD credits when you attend a session. We are pleased to offer an easy, inexpensive and enjoyable way to meet your PD requirements.

Eric Foster's practice focuses on corporate finance, mergers and acquisitions (public and private), regulatory compliance, cannabis law and emerging companies. Eric routinely acts as counsel to both public and private issuers and securities dealers, with a particular focus on the cannabis, mining, life sciences, real estate and technology sectors. Eric is the head of Dentons’ Canadian cannabis practice and is recognized as one of Canada’s leading cannabis lawyers.

Eric's corporate finance practice involves advising issuers, securities dealers and institutional investors in a wide range of financing transactions, including IPOs, secondary offerings, private placements and other forms of equity and debt financing. In his M&A practice, Eric advises acquirers and target companies involved in friendly and hostile takeover bids, plans of arrangement, reverse takeovers and other business combination transactions. Eric has acted on several of the largest and most well-publicized transactions in the cannabis industry and has experience with complex commercial agreements for cannabis industry participants including cannabis licensing, royalty, supply, consulting and celebrity partnership agreements.

Eric also regularly provides advice to Canadian public companies on their disclosure, corporate governance, and other corporate and securities law obligations. Additionally, Eric frequently advises start-ups and emerging companies with respect to corporate structure, governance, financing and licensing matters.

Maruf Raza, CPA, CA, is the National Director of MNP’s Public Companies practice and an Assurance Partner in the Toronto office. Maruf serves as an advisor to public companies, and private companies planning on going public through direct initial public offerings or reverse mergers.

Regarded as a thought leader on International Financial Accounting Standards (IFRS), Maruf has conducted technical research on IFRS and U.S. accounting standards, including being part of the CPA Canada’s IFRS Discussion Group and various committees at the Ontario Securities Commission. He has worked in many countries around the globe and specializes in helping finance these companies in Canada, either through public or private transactions. Maruf has extensive experience working with clients in the cannabis sector. He is currently the chair of CPA Canada's Cannabis TaskForce and a member of CPA Canada's Cryptocurrency Committee. He has recently started the CPA  Canada Cannabis Working Group. In addition, Maruf serves as director and audit committee chair to several TSX and TSXV companies, to better understand the needs of his clients. He acts as a director at MediPharm Labs, a Canadian LP focusing on extraction.
