1. Building a transferable business that will sell for optimal value (9:00 a.m. to 10:00 a.m.)
As the baby boomer generation matures many owners of a private business are faced with the spectre of transitioning their largest asset to another custodian to carry on their lifetime’s work. For many this transition process is a first. The process is complex and fraught with pitfalls that can destroy value. In order to maximise the value created in the business, a shift in the mindset of the business owner is often required. It can mean the difference between having to continue to work well into retirement age and exiting for the price you want on your own terms. Stephen showcases solutions to implement immediately that will build value and entice buyers to write a cheque.

Edward Miller will discuss strategies for preparing a business for sale, including eligibility for and multiplying the capital gains exemption and separating active and passive assets. 8. Changes to Income Splitting Rules (Formerly Known as "Kiddie Tax") (4:30 p.m. to 5:30 p.m.)
Department of Finance Canada released draft proposals on income splitting on December 13, 2017. These rules apply effective January 1, 2018. Join Sankalp for this presentation, to learn more about the new income splitting rules, how they might impact you and practical tips on how to effectively plan under this new regime.

Prior to founding Rizolve Partners, a leading strategic business advisory firm to the SME market, Stephen was a leading executive with a top quartile Private Equity firm DRI Capital and a Partner with Lumira Capital, one of Canada’s leading Venture Capital firms. Before applying his skills in private capital, Stephen was the CFO at Harlequin Enterprises, a global publisher, and qualified as a CPA and Chartered Accountant with Deloitte in London, UK.
Stephen has also conducted numerous successful consulting assignments in his own consulting practice involving value building, exit plans, acquisition transactions, disposal transactions, financings, reorganizations, turnarounds and strategic advisory to numerous CEOs in both the public and private arenas.
Stephen is a member of the Board of Directors of the Ontario Genomics Institute and Chairs its audit and special committees.
Stephen received a B. Sc. in Economics with honors from the University of Leicester in the United Kingdom.
In the Private Equity industry Stephen has chaired a country wide CFO task force leading this industry group through such paradigm changes in International Financial Reporting Standards, and Private Equity Valuation and Reporting best practices.
He is also a sought after international speaker.
Ian received his JD from Queen’s University Faculty of Law in 2013 and was called to the Ontario Bar in 2014. Ian has practiced tax law in Toronto since his call to the Bar. Prior to joining Spectrum Law Professional Corporation, Ian practiced at a boutique tax law firm, which focused on tax litigation. Ian practices taxpayer dispute resolution focusing on individuals and small businesses and is developing a practice focusing on personal and business tax planning, corporate reorganizations, trusts and Wills and estates.
Sunny advises owner/manager and large private companies in Canada and abroad regarding corporate tax requirements, opportunities and risks. He specializes in tax research, drafting opinions, tax and estate planning, corporate reorganizations, due diligence and advising clients on tax matters. He works closely with the team to identify and deploy new planning opportunities that may be delivered to the clients and in the marketplace.
Sunny is a Chartered Professional Accountant having earned his designation in 2012. He also holds a Master of Taxation degree from University of Waterloo. Sunny has written tax articles/papers for Canadian Tax Foundation, CPA Canada, Lawyer's Daily and the firm. Sunny has also presented at events for Canadian Tax Foundation, Tax Specialist Group (TSG), CPA Ontario and other industry specific events and he also facilitates for the CPA Canada in-depth tax course.

Debbie is a tax and estate
planning lawyer, having obtained her LLB from Osgoode Hall Law School, and being
called to the Ontario bar in 1989. She
is Executive Director, Tax & Estate Planning with the CIBC Wealth Strategies
Group. She writes and consults on a variety of personal and small business tax
issues on behalf of CIBC’s clients. She
was previously General Tax Counsel to CIBC, where she worked extensively on
CIBC’s wealth management offerings.
Debbie is currently Chair of the Investment Fund Institute of Canada’s Taxation Working Group and sits on a number of its sub-groups. She also works with the Investment Industry Association of Canada on tax matters concerning the investment industry. She is a member of the Law Society of Upper Canada, the Canadian Bar Association and the Canadian Tax Foundation.
Nathan has been a member of the Ontario Bar since 2006 and receives his Master of Tax in 2009. Since 2006, he has practiced tax in Toronto and is the Founding Principal of Spectrum Law Professional Corporation, a boutique law firm exclusively focused on tax and estate planning for privately held businesses and other high income earners. Nathan advises on a full spectrum of tax and related issues, with specialized knowledge in transactions related to family succession planning, corporate reorganizations, Wills and estates, estate administration, family trusts, life insurance and tax dispute resolution. Nathan regularly meets with business owners, accountants, financial planners and other lawyers to discuss planning opportunities that may be available to them or their clients.
Prior to joining the team at Altro LLP, Samantha attended the University of British Columbia where she obtained her B.A. in Psychology. She later pursued her J.D. in the U.S. at the Benjamin N. Cardozo School of Law at Yeshiva University. As a New York attorney with experience in litigation and investigation within the American legal system, Samantha brings a unique American perspective when working with Canadian clients in both Canada and the U.S.
Ms. Wu is admitted to practice law in New York and Ontario.
Ms. Yassiri has an in-depth understanding of taxation law, estates law and succession planning. Prior to joining the team at Altro LLP, Ms. Yassiri worked at a major Canadian bank and previously practiced in the Taxation and Private Client Services group at a large law firm in downtown Toronto. She also has extensive experience with wealth management planning, business succession planning, estate planning and domestic and international trust structures.
Ms. Yassiri received her undergraduate degree at the University of Toronto and obtained her Juris Doctor from the University of Calgary.
Hadielia Yassiri is a member of the Law Society of Upper Canada.
