7. Workforce and Succession Planning (3:25 p.m. to 4:25 p.m.)
For business owners, in order to be competitive, it is important to keep on top of workforce costs and contingent liability related to the workers. These efforts are even more critical as part of readying the business for a potential sale. Otherwise, the owner risks a purchase price that is only a fraction of what they had originally hoped for. During this presentation, Christine Ashton, a lawyer and partner with Wilson Vukelich LLP, will discuss best practices and strategies for employers with succession planning in mind.
Christine’s practice is divided between labour and employment law and tax litigation. Christine is dedicated to providing her clients with creative and effective solutions, in a responsive manner.

8. Taxation of Employee Stock Options (ESOs) (4:30 p.m. to 5:30 p.m.)
Manny and Bhavin will be speaking about the taxation of ESOs, and
provide insight on how the legislative changes tabled on June 17, 2019 will
impact employees receiving ESOs as compensation.

About the Instructor(s)
Christine is a partner with Wilson Vukelich LLP, a full service firm in Markham and a leader in business and tax law. Christine’s practice is devoted to the areas of labour and employment law, tax litigation and related litigation.
In regards to her labour and employment law practice, Christine represents unionized and non-unionized employers in all aspects of labour and employment law. Christine is thoroughly versed in issues surrounding the employment relationship from hiring, discipline, compensation, performance management, workplace health and safety, human rights, through to termination.
In regards to her tax litigation practice, Christine represents individuals and corporations in their disputes with the Canada Revenue Agency. Christine works with accountants to successfully represent clients at the objection stage, at the appeal stage before the Tax Court of Canada, on applications for judicial review before the Federal Court, on rectification applications, for remission orders, and in regards to requests for taxpayer relief. Christine is particularly focused on positively resolving business related tax disputes, such as the improper assessment of independent contractors as employees, the denial of valid business expense claims, shareholder benefit assessments, and director assessments.
Christine is an active member of various committees, boards, and associations, including acting as the 2018 President of the Ajax Pickering Board of Trade. Christine regularly moderates and speaks at events, including those held by the Ontario Bar Association, the Professional Engineers Ontario, the Ajax Pickering Board of Trade, and the Oshawa Chamber of Commerce.
Jeff Chorlton, P.Eng, MBA
Jeff spent the first half of his career consulting for large corporates and government, doing large scale IT strategies and implementations. By the end of his corporate life 18 years ago, his legacy was to have sold the largest engagement ever for PwC in Canada – a record that still stands today. Overall, Jeff sold $350 million in consulting and accounting work while at Accenture and PwC.
In 1999, Jeff joined the entrepreneurial world and went on to manage Canadian operations of an SAP integration firm that went public. He subsequently ran two other tech organizations and while doing so, noticed a gap in the corporate services market. As a result, he went on to found Flexserv in 2011.
For the past 25 years, Jeff has also served on a variety of corporate, not-for-profit and charitable Boards.
Igor Kastelyanets was called to the bar in Ontario in 2014 and has substantial experience in the field of taxation. Igor has appeared at the Tax Court of Canada and the Federal Court of Appeal. He is a member of the executive committee of the Ontario Bar Association, Young Lawyers Division Continuing Legal Education Committee.
Igor Klibanov is the author of 4 books on fitness, the most recent of which is STOP EXERCISING! The Way You Are Doing it Now. He is also the CEO of one of Toronto's premier personal training companies, Fitness Solutions Plus. Together with his team of fitness professionals, he specializes in helping busy professionals improve their fitness, energy levels, and health.
In the past, Igor has been hired to run fitness seminars for IBM, RBC, the Toronto Lawyers Association, Professional Engineers of Ontario, and others.

Manny LoVoi is a manager within RSM Canada's Private Client Services tax practice. He advises clients in diverse industry sectors regarding corporate and personal tax requirements, risks and exposures, and planning opportunities. His experience spans a wide range of businesses, from small Canadian private corporations and partnerships to large multinational enterprises.
After having started his tax career at a Big Four firm in Toronto, he later joined RSM Canada in 2015. Manny has provided tax advice on acquisitions and restructuring, audits and objections with the CRA, as well as cross-border issues including treaty qualification, withholdings, and other non-resident tax issues. Manny is a member of the Chartered Professional Accountants of Ontario.
Jonah Mayles, LLB
Tax, Estate and Insurance Planning Consultant
Jonah is responsible for advising and developing advanced estate and tax planning strategies for clients. He brings over 10 years of experience in tax and estate planning for high net-worth individuals and private corporations. His practical experience provides him with the ability to formulate tax-efficient solutions using insurance for clients in an increasingly prohibitive and complex tax environment.
Prior to his current role, he was most recently a member of Canada Life’s National Estate and Tax Planning Team. He was a tax lawyer at Fraser Milner Casgrain LLP and Torkin Manes LLP where his practice focused on business succession planning, estate planning, advising on and drafting family trusts and structuring/implementing tax-efficient sales and purchases of businesses.
Jonah has been a frequent speaker on tax, estate and insurance and has written for numerous legal publications, including CCH Tax Topics and the Columbia Journal of Tax Law. Jonah is a member of the Law Society of Upper Canada and holds a BA (Honours) from University of Western Ontario and an LLB from Queens University Law School.

Duane has been advising individuals, small businesses and multi-national entities on a variety of tax issues since his call to the Ontario Bar in 2003.
After gaining close to 9 years of experience working for large Bay Street law firms, Duane opened his own tax boutique firm in 2011 where he is able to provide quality tax advice, at reasonable rates.
During his career, he has been involved in some of the most complicated and high profile transactions in Canada, and participated in several ground-breaking tax litigation cases. Having been trained and mentored by some of Canada’s best lawyers, he brings a unique perspective and varied experience to his practice.
Bhavin Oza is a senior tax manager in the M&A group and has over seven years of experience advising clients on a wide range of tax and financial issues relevant to their businesses. His experience includes a wide range of businesses, from small private companies to large multinational corporations. Bhavin has also advised on several transactions in the areas of mergers and acquisitions, corporate reorganizations, international tax planning, as well as estate, wealth preservation and succession planning.
He also deals with various tax accounting issues both under ASPE and under IFRS and has assisted Canadian subsidiaries of foreign controlled enterprises and Canadian controlled private corporations, with various tax accounting matters. He is a member of the Chartered Professional Accountants of Ontario and has been involved with the CPA exam qualification process with the CPA institute.
